Terms of Service

These Terms govern the websites and services Northbound AI ("we", "us", "our") provides to you ("you", "the client"). By engaging us or using our services, you agree to them.

1. Our services

We design, build, host and manage websites and the related automation, SEO and AI tools described in your chosen plan or written proposal. The specific deliverables for your project are confirmed in writing before work begins.

2. Plans, fees and billing

• Plans have a one off setup fee plus a recurring monthly fee, in AUD.
• A 50% deposit of the setup fee is payable before work begins; the balance is due on go live.
• Your monthly fee covers hosting, maintenance, updates, and the automation and tools included in your plan.
• Plans are month to month by default, with no minimum term. You may instead choose a 12 month plan for a 20% discount on the monthly fee; a 12 month plan commits you for that term.
• Fees may be reviewed with at least 30 days notice.

3. Ownership and intellectual property

This is important, so we have made it plain:

• We retain ownership of the website, its design, code, templates, configuration, and the systems and automation we build and run for you. Your monthly fee is for the ongoing use, hosting and management of that website and those systems. It is not a transfer of ownership.
• You own your domain name and any content you provide (your logo, text, images and materials). You grant us a licence to use them to deliver the services.
• While your plan is active, you have a licence to use your website. If your plan ends, that licence ends: the website and the systems we host for you are taken offline, and we are not obliged to hand over source code or transfer the build. We will help you point your domain wherever you like.
• This subscription model is exactly why our prices are low and there is no large upfront build fee.

4. No guarantee of results or leads

We build genuinely high quality websites and systems, but we do not, and cannot, guarantee any specific result. This includes, without limitation, any particular number of leads, enquiries, calls, bookings, sales, conversions, search rankings, traffic or revenue.

Results depend on many factors outside our control, including your market, pricing, reputation, how quickly you respond to enquiries, competition, and how you use the tools we provide. Nothing said in our marketing, proposals or conversations is a promise or warranty of a particular outcome.

5. Your responsibilities

• Provide content, information, access and approvals in a timely way so we can deliver on schedule.
• Make sure anything you give us is accurate and that you have the right to use it.
• Use the website and tools lawfully, and not for spam or anything that breaches a third party's terms.

6. Third party services

Our services rely on third party platforms (for example hosting, GoHighLevel, Google, Stripe, and SMS and email providers). Their availability and terms are outside our control, and your use of them is subject to their own terms.

7. Cancellation

• Month to month plans: cancel any time with 30 days written notice.
• 12 month plans: continue for the agreed term, then roll to month to month.
• Setup fees and work already completed are nonrefundable. On cancellation, hosting and the managed systems stop and your site is taken offline.

8. Limitation of liability

To the extent permitted by law, we are not liable for any indirect or consequential loss, lost profits, lost revenue or lost data arising from the services. Nothing in these terms excludes, restricts or modifies any rights you have under the Australian Consumer Law that cannot lawfully be excluded.

9. Changes to these terms

We may update these terms from time to time. The current version is always published on this page.
